1. What changes are being announced today?

DHL Express Canada, “the logistics company for the world” and TransForce Inc., a leading North American transportation company, have engaged in a formal 10 year strategic alliance. TransForce Inc. will purchase DHL Express Canada’s domestic operations creating a new subsidiary, Loomis Express. DHL Express Canada’s domestic assets and the existing management team and employees will move to Loomis Express and continue to operate the domestic services currently provided to customers. Loomis Express will provide rural pickup and delivery services for DHL Express International customers. Similarly, DHL Express will continue to provide international services to customers from both companies. This change will not impact any other DHL business units in Canada.

2. What are the benefits in doing this?

This alliance builds on the strengths of our two companies and by having each company focus on their core expertise we will enhance overall service to customers.

DHL Express will focus on our core expertise in international shipping. DHL has 42 years of international experience and an unparalleled global network. We have the most experienced personnel and capabilities in the industry, with expertise in gateway operations and customs clearance, including in- house licensed customs brokers in more than 220 countries – more than any other express carrier worldwide.

TransForce has a long history of purchasing and then successfully managing transportation and logistics companies that operate independently within the TransForce family. Their new subsidiary Loomis Express will be able to draw on the superior infrastructure and competitive domestic transport services in other TransForce companies, increasing the scale and infrastructure of the domestic network.

Loomis Express will be built on the current operations, management and staff of the DHL Express Canadian domestic business. From deliveries to the Alaskan Gold Rush in 1905 through armored cars to ground and courier service, the Loomis brand has a long history of providing Canadian customers with high quality domestic service.

3. How will this work exactly

The transition of the DHL Express Canadian operations will be phased. It will be business as usual as the deal is expected to close within two months. After closure, there will be a second six month phase to separate the international and domestic operations and result in a fully integrated and innovative domestic and international shipping and logistics offering for Canadian and international business. DHL Express’ existing domestic management team is staying in place at Loomis Express to ensure continuity for customers. Employees and customers will be kept informed of any improvements and changes that may result from this transition.

4. I am an employee. How will this affect me?

Today and until the deal closes there should be little impact on your day-to-day work. It is business as usual. During the transition we will separate the businesses into the Loomis express domestic operation and the DHL Express international operation. Employees who will work for DHL Express or Loomis Express will do so under substantially the same terms and conditions, pay, benefits and pensions. Growth in larger, specialized operations provides more career opportunity and both companies can focus on developing our best talent to improve our operations.

5. How will employees know which company they will work for?

Most employees including the existing domestic management team will continue to work with the domestic business under Loomis Express. Some employees will be asked to work for the DHL Express international operation. For unionized workers at the new DHL Express, positions will be posted and we are working with union leadership to ensure that we adhere to collective agreements.

By having each company focus on their core expertise we will enhance overall service to customers like you. DHL Express will focus on our core expertise in international shipping. We have the most experienced personnel and capabilities in the industry, with expertise in gateway operations and customs clearance, including in-house licensed customs brokers in more than 220 countries – more than any other express carrier worldwide.

Loomis Express will be built on the current operations, management and staff of the DHL Express Canadian domestic business and will be able to draw on the superior infrastructure and competitive domestic transport services in other TransForce companies, increasing the scale and infrastructure of the network. (e.g. access to same day, LTL and TL capabilities). Customer service is TransForce’s key focus. With all of our acquisitions we work to maintain the fundamental customer relationships that support our businesses. We are highly focused on providing creative solutions tailored to Canadian customers’ unique needs.

Loomis Express will maintain service consistency through a measured and stable implementation of the strategic alliance. We will take our time over the next 12 to 18 months to examine where we can improve domestic service. We have a ten year alliance agreement with DHL Express as well as the excellent management and employees of the current business – we have the time and focus to turn Loomis Express into the most competitive express shipping service in Canada.

7. Will these changes affect current products and services

It is business as usual from day one. DHL Express’ existing domestic management team is staying in place at Loomis Express to ensure continuity for customers. There will be a period of up to six months where we will carefully separate the domestic and international operations. Loomis Express will be looking at all aspects of the domestic business and when there are improvements or changes to services customers will be informed directly. There are no current plans to change our terms and conditions for international products.

Customer service is our key focus. DHL Express and Loomis Express are both committed to carefully separating the international and domestic assets of the business without any impact to our valued customers. We will communicate early and often throughout this process.

8. I provide products and services to the Current DHL Express. How am I affected?

Our current supplier arrangements will continue. We expect the alliance will makes us more competitive and result in growth in the business.
